Terms of Use

1. Agreement to these terms

These Terms of Use (the "Terms") are a legal agreement between HB Dynamics, LLC, a Delaware limited liability company ("BayMetrics," "we," "us," or "our"), and the dealership or business that subscribes to the Service ("Customer," "you," or "your").

By signing an order, activating a device, or using the Service, you agree to these Terms. If you are agreeing on behalf of a dealership, you confirm you are authorized to bind that dealership.

If you do not agree to these Terms, do not use the Service.

2. Definitions
  • Service: the BayMetrics hardware devices, web dashboard, mobile app, website, and related software and support.

  • Device: a BayMetrics hardware unit, including its camera, AI processor, and display, installed in a service bay.

  • Order: the order form, quote, or subscription confirmation that sets out what you are subscribing to, including device count and pricing.

  • Initial Term: the committed subscription period set out in your Order.

  • Users: the people you authorize to access the Service, such as your managers, advisors, and technicians.

3. The Service

BayMetrics provides hardware devices that detect vehicles in service bays, along with software that turns that detection into timers, job history, and reporting for your service department.

To use the Service, you agree to:

  • Provide a suitable location, power, and a working internet connection for the Devices

  • Allow us, or let your staff, install and position the Devices as needed for accurate detection

  • Keep your account information accurate and your login credentials secure

  • Use the Service only for your own service department operations

The Service is a tool to help your team work more efficiently. It is not a substitute for your own judgment, supervision, or recordkeeping.

4. Subscriptions, terms, and billing
Subscription term

Your subscription runs for the Initial Term set out in your Order. After the Initial Term ends, the subscription continues on a month-to-month basis until cancelled. Your subscription does not automatically lock you into a new committed term. If you want to commit to another term, that is a conversation we are happy to have, but it does not happen by default.

When billing starts

Billing begins on the day your first Device is activated. Charges run on a rolling cadence relative to that activation date.

Pricing

Pricing for the Service is set out in your Order. Any discounts, promotional pricing, or early access pricing will be reflected there as well. Pricing is confidential between you and us.

Adding Devices

You can add Devices during your term. Adding Devices does not extend or restart your Initial Term. If adding Devices qualifies your account for different pricing under your Order, that pricing applies for the remainder of your current term as described in your Order.

Payment

Subscriptions are billed through Stripe, our payment processor. You agree to keep a valid payment method on file and to authorize us to charge it for amounts due. Payment card and bank details are handled by Stripe; we do not store full payment numbers.

Price changes

We may change pricing over time. While you are within a committed Initial Term, your committed pricing is locked for that term. For month-to-month subscriptions, we will give you advance notice before any price increase takes effect, communicated by email and through the Service. We aim to be transparent and give you plenty of lead time, never a surprise.

5. The Devices
We own the Devices, always

The Devices are, and at all times remain, the property of HB Dynamics, LLC. You never purchase, own, or acquire any title to the hardware. No part of your payments buys the Devices.

What your subscription gives you is the right to use the Devices as part of the Service for as long as your subscription is active and in good standing. Paying for the Service is what unlocks that right to use the hardware. When the subscription ends, the right to use the Devices ends with it.

Because the Devices are ours, you may not sell, lease, give away, pledge, open, modify, relocate to another business, or tamper with them.

Warranty, repairs, and replacements are on us

Since we own the Devices, we take care of them. If a Device fails, malfunctions, or stops working through no fault of yours, we will repair or replace it at no additional charge, and we cover the logistics of getting a working Device back to you. You do not need to buy a warranty, and there is no separate hardware maintenance fee. This is part of what your subscription covers.

This does not cover loss or damage caused by misuse, tampering, unauthorized handling, or failure to provide a reasonable operating environment, which remains your responsibility as described below.

Returning the Devices

When your subscription ends for any reason, you must return all Devices to us within the return window described in your Order. We will make this easy and provide return shipping.

If a Device is not returned within that window, or is returned damaged beyond normal wear, a per-device fee applies as set out in your Order. This is the same idea as an unreturned cable modem: the hardware is ours, so it either comes back or it gets paid for.

Care of the Devices

You agree to provide a reasonable operating environment for the Devices and not to interfere with their normal operation. Normal wear and tear is expected and is on us. Loss or damage caused by misuse, tampering, or unauthorized handling is on you.

6. Cancellation
Cancelling during the Initial Term

If you cancel or stop paying during your committed Initial Term, you remain responsible for the remaining value of that term. This is settled as a single buyout payment for the remainder of the Initial Term, as described in your Order. You must also return the Devices, or the per-device fee in Section 5 applies.

Cancelling after the Initial Term

Once you are on a month-to-month basis, you may cancel by contacting us. After cancellation, you must return the Devices as described in Section 5.

How to cancel

To cancel, contact us using the details in Section 14. Cancellation during a committed term is handled directly with us rather than through a self-service button, so we can walk through the buyout and Device return with you.

7. Change of dealership ownership

Dealerships change hands, and we do not want a service like ours to get lost in the shuffle. If your dealership changes ownership, the subscription can be transferred to the new owner, who can assume the remaining term rather than starting a brand-new committed term. Contact us and we will help arrange the transfer.

8. Acceptable use

You agree not to:

  • Use the Service for anything unlawful or to violate anyone's rights

  • Copy, reverse engineer, or attempt to extract the source code of our software

  • Open, modify, or tamper with the Devices

  • Interfere with or disrupt the Service or its security

  • Resell or provide the Service to a third party without our written permission

  • Use the Service to identify, profile, or surveil individuals; the Service is for detecting vehicles in your bays

9. Your data

How we handle data is described in our Privacy Policy, which is part of these Terms.

In short: the data your dealership puts into the Service, and the operational data the Service generates for you, belongs to you. You grant us the rights we need to operate the Service, support you, and improve the accuracy of our vehicle detection, as described in the Privacy Policy. We do not sell your data.

10. Intellectual property

The Service, including the Devices, software, dashboard, detection models, and the BayMetrics name and branding, is owned by HB Dynamics, LLC and is protected by intellectual property laws. These Terms do not give you any ownership in the Service. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription, and nothing more.

If you give us feedback or suggestions, we may use them to improve the Service without any obligation to you.

11. Service availability and support

We work hard to keep the Service running and to support your team. We provide customer support through the contact channels we make available.

The Service may occasionally be unavailable for maintenance, updates, or reasons outside our control. We will make reasonable efforts to limit disruption and to give notice of planned maintenance where practical.

12. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or perfectly accurate in every detection. Vehicle detection depends on real-world conditions such as lighting, positioning, and bay environment. You agree to use the Service as a decision-support tool and to keep appropriate human oversight of your operations.

13. Limitation of liability

To the fullest extent permitted by law:

  • Neither party is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data, even if advised of the possibility.

  • Our total liability arising out of or related to the Service and these Terms will not exceed the amounts you paid to us for the Service in the twelve months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

14. Indemnification

You agree to defend and indemnify HB Dynamics, LLC against third-party claims arising from your misuse of the Service, your violation of these Terms, or your violation of law or of a third party's rights.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.

Before starting any formal proceeding, both parties agree to first try to resolve the dispute in good faith by contacting each other directly. If that does not work, the dispute will be handled in accordance with this Section and applicable law.

16. Changes to these terms

We may update these Terms as the product and the law change. When we make material changes, we will update the "Last updated" date and notify Customers by email or through the Service, with advance notice where the change is significant. Continuing to use the Service after changes take effect means you accept the updated Terms.

17. Force majeure

Neither party is responsible for failure or delay in performing its obligations under these Terms when the failure or delay is caused by events beyond its reasonable control. This includes natural disasters, severe weather, fire, power or internet outages, acts of government, labor disruptions, supply chain failures, pandemics, war, civil unrest, and failures of third-party infrastructure or telecommunications. The affected party will make reasonable efforts to resume performance as soon as practical. This section does not excuse any obligation to pay amounts already due.

18. General
  • Entire agreement. These Terms, your Order, and the Privacy Policy are the entire agreement between you and us regarding the Service.

  • Severability. If any part of these Terms is found unenforceable, the rest stays in effect.

  • No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.

  • Assignment. You may not assign these Terms without our consent, except as part of a dealership ownership transfer under Section 7. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
